ReimburseMate Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ReimburseMate, Inc. ("ReimburseMate," "we," "us," or "our") governing your use of the ReimburseMate mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. The Service

ReimburseMate helps you scan receipts, identify purchases that may be eligible for reimbursement through a Health Savings Account (HSA) or Flexible Spending Account (FSA), and generate reports you can use to submit reimbursement claims. The Service is a tool to assist you. It does not submit claims on your behalf and does not manage your HSA or FSA.


2. Not Tax, Financial, or Medical Advice

This is important. Read it carefully.

ReimburseMate does not provide tax, legal, financial, accounting, or medical advice. Eligibility determinations produced by the Service are automated estimates generated by software, including optical character recognition and AI-based classification. They may be incomplete or incorrect.

You are solely responsible for determining whether any expense is actually eligible under IRS rules and the terms of your specific HSA or FSA plan, and for the accuracy of anything you submit to a plan administrator or the IRS. Eligibility rules vary by plan and change over time. Before submitting any reimbursement claim, verify eligibility with your plan administrator, a qualified tax professional, or official IRS guidance.

You assume all responsibility and risk for decisions you make based on the Service, including any denied claims, penalties, taxes, or interest.


3. Accuracy of Extracted Data

The Service uses automated technology to read receipts and classify items. This technology can misread text, miscategorize items, or produce errors. You are responsible for reviewing and correcting the information the Service extracts before relying on it. We do not warrant that extracted data, totals, or eligibility results are accurate or complete.


4. Your Account

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account. Notify us promptly if you suspect unauthorized use. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.


5. Your Content

You retain ownership of the receipt images and information you upload ("Your Content"). You grant us a limited, non-exclusive license to store, process, and use Your Content solely to operate and provide the Service to you, including sending it to the service providers described in our Privacy Policy for OCR and eligibility processing. You represent that you have the right to upload the receipts you submit.


6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose, including submitting fraudulent reimbursement claims.

Upload content you do not have the right to upload.

Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service or its systems.

Use the Service to build or train a competing product.

Misuse, scrape, or resell the Service or its data.

We may suspend or terminate your access if you violate these Terms.


7. Fees and Subscriptions

The Service is currently offered free of charge. We may introduce paid features or subscriptions in the future. If we do, we will present the applicable pricing and terms before you are charged, and any purchases made through the App Store will be governed by Apple's payment terms in addition to these Terms. We reserve the right to change our pricing and offerings.


8. Intellectual Property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by ReimburseMate and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes, subject to these Terms.


9. Third-Party Services

The Service relies on third-party providers (for example, our backend, OCR, AI, email, and crash-reporting vendors) and runs on platforms such as Apple's App Store. Your use of those platforms is subject to their own terms. We are not responsible for third-party services we do not control.


10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that eligibility results will be accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.


11. Limitation of Liability

To the maximum extent permitted by law, ReimburseMate and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, tax benefits, or reimbursement, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of these limits may not apply to you.


12. Indemnification

You agree to indemnify and hold harmless ReimburseMate from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.


13. Termination

You may stop using the Service and delete your account at any time through the app. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.


14. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Williamson County, Tennessee, and you consent to their jurisdiction, unless applicable law requires otherwise.


15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect means you accept the updated Terms.
